Legal Support Specialist 3 – Corporate Governance (Hybrid)

The Legal Support Specialist 3-US is a developing professional role which integrates in-depth specialty knowledge with a solid understanding of industry standards and practices; demonstrates good understanding of how the team and area integrate with others in accomplishing the objectives of the subfunction/ job family. Applies analytical thinking and knowledge of data analysis tools and methodologies. Breaks down information in a systematic and communicable manner. Developed communication and diplomacy skills are required in order to exchange potentially complex/sensitive information. Moderate but direct impact through close contact with the businesses’ core activities. Quality and timeliness of service provided will affect the effectiveness of own team and other closely related teams.

Responsibilities:

  • Provide support for Board and Committee meetings, briefings, and tutorials, including loading materials to Board Vantage portal; providing sections of Board materials to presenters with Board Vantage page numbers; and ensuring proper permissioning of management on materials.
  • Preparing and distributing to Board members and senior management personalized scheduled meeting attendance.
  • Provide support for Board member engagement with regulators, including coordinating with CAO office on the requirements set by regulators for meetings with Board members; communicating with Board members to schedule meetings; collecting and providing review materials to Board members.
  • Maintain corporate records, including minute books and Board materials distributions.
  • In response to regulatory examination requests, identify responsive Board and Committee materials, redact materials prior to attorney review, and upload materials to regulator websites.
  • Provide support at Board and Committee meetings, including traveling to one international Board meeting locations per year and one or two domestic locations (outside NYC) to provide support.
  • Provide logistical support to Board members pertaining to travel for meetings – coordinating transport, hotels and cars with GEMS team
  • Prepare power point presentations under the direction of department attorneys
  • Assist in responding to corporate governance surveys
  • Maintain database of information pertaining to biographical information of Board members, committee history and Board attendance etc.
  • Coordinate completion of questionnaires, filings etc, requesting information about directors and officers of company
  • Process expense reports for Board members and other Board-related expenses.
  • Qualifications:
  • Admin/Paralegal experience in a corporate legal department of a law firm or the corporate secretary’s office of a corporation – 2-5 years of experience
  • Good understanding of corporate legal structure
  • Extremely detail oriented with strong follow-up
  • Excellent organizational skills; ability to manage multiple, high priority tasks
  • Strong interpersonal, written and verbal communication skills
  • Strong proofreading skills
  • Ability to handle confidential information and matters with discretion
  • Ability to perform and coordinate efforts by others under time pressure
  • Willingness to take on new tasks and to develop new skills
  • Ability to interact with all levels of management in a professional and positive manner
  • Proficiency in MS Office and the ability to quickly learn other computer applications such as PowerPoint, Excel and Board Vantage

Education:

  • Bachelors/University degree or equivalent experience
