Description An attorney to serve as day-to-day legal advisor for our affiliated bank’s collective investment trust (CIT) platform, which is comprised of a large and diverse range of bank-maintained 3(c)(3) and 3(c)(11) investment funds. This attorney will be part of a larger team of legal professionals who will also be available to provide investment legal support for other investment management affiliates and related businesses. The ideal candidate will have some CIT expertise and/or ERISA expertise as well as broader institutional investment management experience counseling registered investment advisers, pooled investment vehicles and institutional clients including ERISA investors. Primary responsibilities include:
- Provide day-to-day legal support to the central business team responsible for the management of CIT operations as well as affiliated and external service providers.
- Serve as advisor to applicable CIT governance committees that oversee fund investment activity and administrative operations.
- Draft and maintain CIT-related documentation including trust instruments, fund declarations and client agreements.
- Work with Compliance in drafting, updating and applying CIT-related policies and procedures for investment management, fund administration and distribution functions.
- Support for the Legal Department on key initiatives. This will at times include coordinating with global colleagues and other stakeholders on time sensitive matters.
- Advise on legal and regulatory matters relating to CITs and investment management affiliates arising under federal securities law, banking law and ERISA.
- Provide advice and assist in implementation of new product/service initiatives.
Qualifications
- JD and licensed to practice in NY, MA or PA.
- 3 – 8 years of relevant experience.
- Strong written and oral communication skills. Ability to interact with senior decision makers.
- Critical analytical skills and ability to bring a holistic perspective to businesses that operate in a multi-faceted and changing legal/regulatory environment.
- Knowledge of OCC Regulation 9, Investment Advisers Act of 1940, Investment Company Act of 1940 and ERISA.
- Candidates without extensive CIT expertise but who have related experience will be considered.
BNY Mellon assesses market data to ensure a competitive compensation package for our employees. The base salary for this position is expected to be between $111,000 and $234,000 per year at the commencement of employment. However, base salary if hired will be determined on an individualized basis, including as to experience and market location, and is only part of the BNYM total compensation package, which, depending on the position, may also include commission earnings, discretionary bonuses, short and long-term incentive packages, and Company-sponsored benefit programs.
This position is at-will and the Company reserves the right to modify base salary (as well as any other discretionary payment or compensation) at any time, including for reasons related to individual performance, change in geographic location, Company or individual department/team performance, and market factors.
