Support corporate and real estate attorneys on M&A and real estate transactions, corporate restructurings, resolution planning, general corporate and administrative matters. The paralegal will work closely with senior lawyers and business managers. The role will be based in New York.
Duties Responsibilities
- Assisting attorneys in M&A transactions by organizing, redacting and reviewing due diligence materials, preparing due diligence reports, creating closing checklists, managing closings, preparing resolutions, certificates and other basic transaction documents, coordinating the execution and delivery of final documents and the preparation of desk copies for attorneys and updating and maintaining transaction files and databases
- Assisting attorneys with facilities management projects by conforming documentation to comply with local requirements, coordinating execution of documents (create signature pages, confirm signing authority and collect executed signature pages), researching real estate documentation in CoStar database, and preparing first drafts of letters and agreements using standardized forms
- Assisting attorneys in the negotiation and maintenance of confidentiality agreements by reviewing draft agreements, preparing comments for review by the attorneys, corresponding with opposing counsel, obtaining necessary signatures, cross-checking parties against control lists and maintaining a database of executed confidentiality agreements
- Supporting attorneys in the administration of committees, including the preparation of meeting presentation materials and minutes
- Preparing PowerPoint presentations, Excel spreadsheets and organization charts
- Maintain project folders in iManage document management system, including helping create and sttructure the project folders and uploading documents to iManage
- Coordinating tasks with (i) the Corporate Secretary’s offices in the US, EMEA and APAC, (ii) paralegals that support business units and (iii) other support personnel
- Preparing documents for legal entity formation, dissolution and governance
- Other support for M&A and Real Estate attorneys as requested
Desired Qualifications
- BA; 3+ years of experience with corporate or M&A transactions in a law firm or large corporate law department; similar experience on real estate transactions is a plus
- Experience using Microsoft Office and the Adobe suite is required
- Experience with iManage document management system and GEMS is a plus Excellent verbal, written, and presentation skills
- Ability to deal effectively with all employees and external business contacts while conveying a positive, service-oriented attitude; exceptional attention to detail and strong organizational skills
- Ability to remain productive while working independently is essential; ability to handle confidential information sensitively and discreetly.
BNY Mellon assesses market data to ensure a competitive compensation package for our employees. The base salary for this position is expected to be between $46,500 and $78,000 per year at the commencement of employment. However, base salary if hired will be determined on an individualized basis, including as to experience and market location, and is only part of the BNYM total compensation package, which, depending on the position, may also include commission earnings, discretionary bonuses, short and long-term incentive packages, and Company-sponsored benefit programs.
This position is at-will and the Company reserves the right to modify base salary (as well as any other discretionary payment or compensation) at any time, including for reasons related to individual performance, change in geographic location, Company or individual department/team performance, and market factors.
