Job Overview

TE Connectivity’s Legal Support Teams provide a variety of general corporate and commercial legal services including contracts, legal rights, obligations, and privileges. They review legal data and advise the organization on appropriate legal action.

The Corporate Governance Paralegal reports to the Assistant General Counsel – Corporate in the Law Department’s Corporate Secretary group and will work to support the Company’s Corporate Governance requirements under the guidance of Counsel. The position will support the interaction between the Corporate Secretary’s team and TE’s Corporate Responsibility, Investor Relations, and Communications teams. The individual will conduct research, resolve routine legal questions under the direction of Counsel, and complete required regulatory filings. This position will provide general paralegal support and assist the Corporate Secretary with the Corporate Governance requirements of the Board of Directors and the Board Committees.

Role: Corporate Governance Paralegal
Location: Hybrid – Berwyn, PA (duration and frequency TBD)
Salary: $80,440 – $135,000
Status: Non-Exempt

Responsibilities:

  • Coordinate annual and special shareholder meetings concerning meeting logistics; document production, mailings, and distributions; engagement of solicitor, independent proxy, inspector, and tabulator; preparation of proxy statement
  • Review & maintain board and corporate documents, such as articles of association; corporate governance policies and charters; shareholder meeting minutes and prepare & maintain meeting materials and minutes for Nominating, Governance & Compliance Committee
  • Assist with New York Stock Exchange and SEC compliance activities, including monitoring of changes in regulatory requirements for public companies and preparation of associated filings, as well as research and analyze related party relationships and director independence
  • Assist with public company filings including but not limited to DEF 14A (Proxy Statement), 8-K, powers of attorney, Forms ID, Section 16 reports on Forms 3, 4 & 5
  • Coordinate share transfers between transfer agents and individual brokerages for Director compensation equity grants, as well as information needs of the Swiss Salary Tax group for Executive Officers & Board of Directors
  • Communicate and coordinate as needed with management, outside counsel, shareholders, transfer agent, financial printers and various regulatory agencies, brokers, and employees, as well as internal departments, including Accounting, Executive Compensation, Finance, Investor Relations, Marketing, and Tax
  • Special projects and other duties as requested

In addition, the successful candidate will have the following qualifications, experience, and skills:

  • Bachelor’s Degree plus Paralegal Certificate or requisite experience
  • 5+ years of work experience in corporate law setting of a small to large company
  • Experience & skill using various systems for performing the above duties: MS Word, Excel & PowerPoint; EDGAR
  • Other beneficial skills and experience include: CT Corporation hCue; Diligent BoardBooks; NYSE Listing Manager; Equiniti transfer agent EQInsight platform; ISS Governance Analytics platform; Toppan Merrill Bridge financial printing platform

COMPENSATION
• Competitive base salary commensurate with experience: $80,440 – $120,660 (subject to change dependent on physical location)
• Posted salary ranges are made in good faith. TE Connectivity reserves the right to adjust ranges depending on the experience/qualification of the selected candidate as well as internal and external equity.
• Total Compensation = Base Salary + Incentive(s) + Benefits
