PURPOSE:
Reporting to UNFI’s Deputy General Counsel, this position is an integral part of the Legal team, providing hands on legal and strategic support to the company, primarily to assist with general corporate matters, the preparation/distribution of board materials, and SEC filings.
ESSENTIAL FUNCTIONS:
Job Responsibilities
- Collaborate with the Client’s, Securities Counsel, Corporate Secretary, and others on the management of board of director and committee meetings and materials related thereto; Collaborate with the legal team on general corporate matters.
- Utilize the Client’s electronic applications to ensure electronic disbursement of board materials.
- Assist with maintaining the filings and records for the organization’s various corporate entities.
- Assist with the drafting of proxy statements and support of the filing of other securities filings.
JOB REQUIREMENTS:
Education/Certification and experience:
- Excellent academic credentials, including a baccalaureate degree and a paralegal certificate.
- Five or more years of experience acquired in a AmLaw 100 firm and/or a well-respected in-house environment.
Knowledge/Skills/Abilities:
- Command of the Diligent for Board Books, HCue, and the Microsoft Office Suite, including Excel and PowerPoint
- Sterling attitude defined as a combination of intellectual and emotional maturity.
- Technical savvy and able to master new electronic applications quickly.
- Excellent communications skills, written and verbal
- Must be a team player, willing to jump in and help out wherever needed on projects
- Must also be a quick learner with strong internal motivation and possess initiative, integrity, and resilience
- Ability to present information and reports to management timely, clearly and concisely
- Ability to collaborate, build relationships, gain credibility and partner with others in a complex organization in pursuit of the best possible business and legal terms
- Ability to navigate, be comfortable with and have the flexibility to adjust in, a collaborative, intense, fast-paced, results-oriented environment
- Strong, pragmatic business acumen with the ability to recognize and communicate the business consequences of legal advice
- Willingness and ability to travel, as necessary
PHYSICAL ENVIRONMENT/DEMANDS:
- Some travel may be required
- Incumbent may sit for long periods of time at desk or computer terminal
- While performing the duties of this job, the employee is regularly required to sit; use hands to finger, handle, or feel; reach with hands and arms; and talk or hear.
- Incumbent may use calculators, keyboards, telephone, and other office equipment in the course of normal workday
- Stooping, bending, twisting and reaching may be required in completion of job duties

- Pay Range: $99900.00 – $154400.00 Annually ($48.03 – $74.23 Hourly)
