Job Summary:

This position will provide guidance and consultation on a variety of legal matters including, but not limited to contract negotiations, merger and acquisition transactions, litigation, employment, and general corporate governance.

Essential Job Functions for the M&A Counsel will include:

  • Supporting M&A due diligence efforts and post-deal integration
  • Reviewing, drafting, structuring, and negotiating agreements in connection with M&A
  • Drafting and updating internal policies
  • Assisting, communicating with, and overseeing the work of outside counsel
  • Researching and advising on relevant legal issues
  • Assisting in relevant pre-litigation and litigation efforts
  • Contract review and administration
  • Maintaining a current working knowledge of new laws and regulatory developments
  • Performing other duties as assigned

Required Knowledge, Skills and Abilities:

  • Juris Doctor (J.D.)
  • Licensed to practice law in at least one state (Colorado preferred)
  • 1-3 years of experience in a law firm or in-house legal department
  • Experience in corporate law required.
  • Experience with SaaS agreements preferred.
  • Financial services experience preferred.
  • Strong drafting, research and writing skills.
  • Knowledge of and experience with federal securities law including the Investment Advisor Act of 1940 preferred.
  • Ability to work effectively with teams and independently, as well as manage and prioritize multiple projects.
  • Excellent communication, analytical and organizational skills

Work Schedule:

Daytime and evening hours as needed.

Working Conditions:

Professional office environment, daytime hours, working inside, standing, and sitting, will be assigned to a work station.

Salary:

Compensation is commensurate with experience, education, and skills. Average annual salary range for this position across our locations is: $90,000 to $120,000.
