Lucid is looking for a motivated and experienced compensation and benefits attorney to join our legal team. This role will support Lucid’s business leaders and stakeholders in the management and handling of compensation, benefits, and related tax, securities, and governance matters, including day-to-day operations and strategic initiatives.
The ideal candidate will be able to commute to our corporate headquarters in Newark, CA, however, we will consider other remote locations.
You Will:
- Provide advice and counseling on a wide variety of global compensation and benefit matters, including executive compensation, health & wellness benefit plans, retirement plans, and the governance, interpretation, and implementation of such plans.
- Provide advice and counsel on employee equity plans and offerings, including advice on employee stock purchase plan, stock administration, equity award agreements, and granting equity outside of the U.S.
- Provide advice on director and executive compensation-related disclosure and corporate governance, including reviewing the company’s annual proxy statement (CD&A), Section 16 filings, stockholder engagement on executive compensation matters, and compensation committee matters.
- Assist with reporting for benefits programs, equity compensation, and executive compensation matters.
- In conjunction with tax department and outside counsel, provide advice, counsel, and oversight of global employee tax requirements and compliance, including 280G and 409A matters.
- Provide advice and counsel on executive compensation and separation, including executive severance plan, reporting, and tax guidance.
- Support mergers, acquisitions, financings, and other corporate transactions with counsel on executive compensation, benefits, equity, and employment tax matters.
- Monitor legal developments relating to compensation and benefits, equity compensation, and employment tax matters and ensure compliance with new requirements.
- Help manage outside counsel on compensation, benefits, equity, and employment tax matters.
You Bring:
- Minimum of 7 years of substantive compensation and benefits, equity, and/or employment tax experience with a corporate legal department or law firm.
- AmLaw 100 law firm experience preferred.
- Excellent communication skills (verbal and written), including the ability to effectively relay complex information in a concise format.
- Practical business judgment.
- Demonstrated ability to work efficiently and independently, prioritize workflow, meet demanding deadlines, and manage multi-faceted projects.
- Proven track record of learning quickly, taking initiative, working proactively, being resourceful, and taking on additional responsibility.
- Law degree (J.D.) from an ABA-accredited institution.
- Eligible to practice law in California.
Salary Range: The compensation range for this position is specific to the locations listed below and is the range Lucid reasonably and in good faith expects to pay for the position taking into account the wide variety of factors that are considered in making compensation decisions, including job-related knowledge; skillset; experience, education and training; certifications; and other relevant business and organizational factors.
• California (Bay Area) – $177,000 – $253,000 annually
