We are looking for an Associate Counsel based in Chicago

Your Team The Corporate Law Team is committed to providing legal support and consultation in connection with corporate transactions, strategic investments, reinsurance, maintenance of the legal entity organization, and corporate governance matters. The Team manages the legal entity organization consisting of several regulated insurance companies and non-insurance companies, which involves adhering to corporate formalities (board and committee meetings, board resolutions, officer and director certifications) and holding company act compliance for the AGCS North America companies.

The Impact You Will Have Reporting to the Vice President and Associate General Counsel, you will join the team as an Associate Counsel who will work in specialized areas of corporate and transactional law with guidance, and independently in areas of insurance compliance, corporate governance and legal entity administration. You will be responsible for renovating the Corporate Governance function and administer Holding Company Act (HCA) compliance, as well as legal analysis and drafting, detailed corporate administration and governance support activities, and regulatory research.

Some of your specific responsibilities could include

  • Assuring HCA compliance and establishing a process to solicit and process intercompany agreements for regulatory approval, including drafting and filing prior approval requests (including contract and context descriptions) and responding to DOI information requests as necessary, maintaining status reports of all filings.
  • Coordinating, drafting and filing annual registration statements in all states of domicile, researching and updating procedures based on changes in laws and regulations;
  • Reviewing and maintaining Service Level Agreements related to Group Agreements maintaining intercompany org chart and maintaining schedule of intercompany transaction limits applicable to all legal entities.
  • Assisting with corporate transactions including drafting and proofing documents and applications and drafting and supporting negotiation of vendor and corporate agreements and transactional documentation.
  • Performing and coordinating activities attendant to mergers, acquisitions, divestitures and dissolutions, processing/obtaining corporate and GMAC approvals as needed
  • Performing research and analysis of statutes and regulations relating to insurance, corporate and general business matters, documenting and ensuring compliance with statutory and regulatory requirements related to the administration of the AGCS NA legal entities.
  • Acting as AGCS NA Governance Caretaker in the oversight of AGCS NA System of Governance and the evaluation of the effectiveness of the system of governance elements.
  • Retaining and organizing all significant corporate transactional documents and records in accordance with document retention policies
  • Updating and processing the annual Form F, the Corporate Governance Annual Disclosure and overseeing review and approval of Corporate Rules and Policies.

What You’ll Bring to the Role

  • A minimum of 3 years of insurance industry compliance experience;
  • Experience providing Legal advice on complex regulatory and insurance law matters;
  • Knowledge of a wide variety of substantive legal disciplines, including corporate law, accounting standards, and insurance regulation.
  • Knowledge of current conduct of business regulatory standards and guidance;
  • Experience working in a dynamic, complex professional environment;
  • Experience with AGCS NA organization helpful;
  • Project management skills;
  • Excellent verbal and written communications skills;
  • Strong analytical and problem-solving skills;
  • Analyzing complicated insurance corporate law statutes and regulations, helping to develop this skill and knowledge within the team; and
  • Juris Doctorate.

The annualized base pay range for this role is $92,217 – $156,348. The annual base salary range represents a nationwide market range. The actual salary for this position may be above and will be determined by a number of factors, including the scope, complexity and location of the role; the skills, education, training, credentials and experience of the candidate. The base pay is just one component of the AGCS total compensation package. As part of our comprehensive compensation and highly rated benefits programs, employees are also eligible for annual performance-based cash incentive awards.
