Assistant, Corporate Counsel (Hybrid)

This position will negotiate, draft, and review business vendor contracts, including regular interaction with vendors and internal business personnel. Assess legal risks and advise on mitigation strategies. Develop template agreements and playbooks to facilitate rapid agreement development. Emphasis on technology contracts, intellectual property protection, and cybersecurity. Provide legal advice for all departments of AAA, Inc., as well as support the Corporate Counsel and General Counsel.

Duties & Responsibilities:

  • Draft, review, negotiate and edit a wide variety of commercial contracts, including supply agreements, co-pack agreements, broker agreements, marketing agreements, logistics, and transportation agreements, NDAs, professional services agreements, and master services agreements.
  • Identify business risks associated with commercial terms and propose mitigation strategies.
  • Negotiate with external customers on vendor and client contracts, business associate agreements, and other commercial transactions.
  • Prepares and disseminates information to appropriate employees regarding contract status; facilitates contractor meetings.
  • Provides contract summaries and ensures contract execution in accordance with AAA policy.
  • Prepares and files government reports.
  • Reviews new business relationships with vendors and subcontractors.
  • Ensures that AAA, Inc., is in compliance with contract or legal requirements, owner specifications, and government regulations.
  • Provide general legal advice for all business lines.

Requirements, Competencies, and Certifications:

  • Ability to handle ambiguity, prioritize, and manage multiple cross-functional projects to completion with little direction, and quickly shift from one situation or task to another.
  • Understanding of current development practices, including Agile development.
  • Knowledge of service provider models, including SaaS, ASP, and Cloud-based models.
  • Ability to work in a fast-paced, complex environment.
  • Strong written and oral communication
  • Strong time management and organizational skills
  • Excellent interpersonal skills, self-motivated, and be adaptable in a fast-paced, dynamic, deadline-driven environment
  • Is well-versed in various templates, wording, and clauses that characterize good contracts

Education & Experience:

  • Doctor of Jurisprudence (J.D.) degree from an American Bar Association-accredited law school.
  • Four years of legal practice in-house or with a law firm, with three or more years negotiating and drafting complex technology contracts.
  • Comprehensive knowledge of law and practices applicable to legacy and emerging technologies, systems development, intellectual property, and other areas of technology law.
  • Experience working directly with IT personnel in development, security, and operational positions.

Hiring Range:

  • $122,000 – $132,000
  • The position is also eligible for participation in AAA, Inc.’s Annual Incentive Plan.

The actual compensation offered will be based on your qualifications and experience.
