Join Our Team
You will be our Assistant General Counsel, Securities & Corporate Governance, a key member of our legal team responsible for securities and debt transactions, corporate governance, supporting Board functions, corporate transactions, and other strategic corporate legal work. You will report to our Chief Legal Officer & Corporate Secretary.
Your responsibilities will include:
- Advising on external governance trends, SEC issues, and related general legal issues.
- Reviewing corporate governance documents, policies, and guidelines and recommend updates where necessary.
- Working with client teams on corporate governance and board matters, including preparation of board materials, resolutions, consents, minutes, certificates, charters, by-laws, and policies.
- Leading the preparation and review of SEC filings (Annual Proxy Statement and Forms 10-K, 10-Q, 8K, 4s, etc.), while ensuring the timely satisfaction of SEC and NYSE compliance and reporting obligations
- Collaborating closely with key stakeholders on all public debt and equity offerings.
- Assisting with corporate governance matters, including annual dissemination and review of Annual D&O Questionnaires; reviewing and responding to proxy analyst reports; supporting Investor Relations by preparing responses to investors and other inquiries; handling shareholder proposals; conducting peer research on corporate governance-related matters; responding to SEC comment letters and other regulatory inquiries; preparing presentations for the Board; reviewing and negotiating various bank account related contracts and documents.
- Partnering with Finance, Accounting, Treasury, and other key stakeholders to solve complex business problems.
- Collaborating to develop, implement, and continually improve company and team processes and procedures.
- Managing other projects as requested by the Chief Legal Officer.

Your skills and abilities should include:
- Experienced securities lawyer with 5+ years of legal experience in complex financing and equity transactions in either a law firm or in-house. Insurance industry experience a plus.
- Juris Doctor; a U.S. state bar admission and in good standing.
- Excellent critical thinking and analytical abilities, particularly in developing conceptual understanding of new topics for yourself and others.
- Ability to work individually with limited oversight as well as collaboratively on group projects.
- Capacity to manage others while meeting and/or exceeding deadlines – prioritizing, multi-tasking, and maintaining flexibility in a fast-paced, changing environment.
- Demonstrated ability to influence and work effectively within a global organization with employees at all levels.
- Motivated, team-oriented, with strong problem-solving and project management skills.
- Excellent organizational, written, verbal and presentation skills.
- Act with integrity and due skill, care and diligence in carrying out your duties.

SALARY: The estimated salary range for this position is $200,000 per year to $245,000 per year. This is a good-faith assessment of the salary range for this position only. In determining the actual salary within this range, SiriusPoint will consider a candidate’s relevant experience, location, and other job-related factors.
