The team

Our Corporate Development team is responsible for driving the short and long-term growth of Cognizant in tandem with our organic growth efforts. Members of the Corporate Development team work closely with multiple business units and corporate functions within the Cognizant organization to identify, evaluate and integrate acquisition, investment and partnership opportunities. A critical part of our Corporate Development organization is the Strategic Diligence Team, who reports directly to the VP of Corporate Development. The Strategic Diligence Team is a high performing multidisciplinary team of strategy and finance professions that guide senior management through M&A processes, and directs and manages the strategic commercial and cross functional due diligence for Cognizant’s M&A transactions.

Associate Director, Corporate Development Due Diligence & Transaction Management – Part of the Strategic Diligence Team that conducts strategic due diligence and value driver analysis, market sizing research and reporting, P&L performance analysis, KPI benchmarking analyses and other ad hoc commercial analysis as it relates to business case development. Use considerable judgment to solve complex and ambiguous problems in M&A projects, bringing structure and rigorous quantitative and qualitative analysis techniques. Assisting / leading end-to-end cross functional corporate due diligence and transaction management for M&A transactions.

Additional responsibilities include:

  • Prepare materials for and participate in target management meetings
  • Collate findings of due diligence across all commercial and corporate functional due diligence work streams for review by our investment committee
  • Review and give comments on legal contracts associated with transactions, ensuring risks identified in due diligence are appropriately considered
  • Assist in preparing Executive Leadership / Investment Committee deliverables and communications
  • Coordinate transaction signing and closing procedures with relevant functional teams, including performing funds flow tie out.
  • Prepare communication including reports, memos, etc. to ensure continuity and a smooth transition during the post-closing phase to support the integration
  • Demonstrate Cognizant’s core values and support inclusion and diversity goals
  • Coach and train fellow associates where relevant, ensuring best practice across the team

Requirements:

Professional experience skills:

  • At least 5-7 years of experience in either of big 4 transactions service, corporate finance, strategy consulting, private equity or equivalent
  • M&A experience over 20 to 30 transactions in either deal execution, commercial due diligence/ M&A strategy or financial due diligence
  • Strong data and commercial analytic abilities, presentation, written skills, and organizational skills
  • Excellent people skills, working successfully in a team context with co-workers and senior management
  • Proficient in Excel and PowerPoint
  • High attention to detail
  • Strong project management skills with the ability to manage multiple priorities given aggressive timelines
  • Must be able to work in a self-directed manner and exercise judgement but will benefit from a structured training plan aimed at creating a well-rounded M&A professional
  • Exposure to other multinational providers of technology consulting and transformation services is a plus

Education/Certifications:

  • BA or BS Accounting, Finance or other relevant business degree
  • CPA, CFA, MBA or other relevant professional/ post-graduate qualification

Salary and Other Compensation:

The annual salary for this position is between $110,000-$170,000 depending on experience and other qualifications of the successful candidate.

This position is also eligible for Cognizant’s discretionary annual incentive program and stock awards, based on performance and subject to the terms of Cognizant’s applicable plans.
