Banking / finance sector looking for an Associate General Counsel member to join a growing team for an in-house position. Specific experience desired within structured finance, this role will primarily support the Capital Markets Team and offers exposure to a variety of securitization deals and related financing transactions, including negotiating documentation for both existing and new financial products and deal structures. You will join a team of strong, experienced legal counsel as well as some of the best financial experts in the industry.
Duties and Responsibilities
- Work closely with the Capital Markets, Finance and Treasury teams and assist a seasoned issuer of ABS with the creation, structuring, document negotiation, regulatory analysis and launch of privately-placed securitizations and asset-based lending and warehouse transactions relating to consumer loans or similar asset classes, including unsecured personal loans, secured personal loans, credit card receivables and vehicle equity loans.
- Negotiate and draft various transactional and related documentation relating to securitizations and asset-based loans, including PPMs, indentures, legal opinions, resolutions, investor presentations and warehouse credit agreements.
- Negotiate and draft transactional documents for loan purchase agreements, loan servicing agreements, multi-party agreements, sales of charged off debt and related documentation for third-party loan purchasers, including such purchaser’s future back-end financing transactions.
- Work with Marlette’s originating bank partners in negotiation and preparation of master services agreements for the origination, sale and servicing of new loan originations.
- Interpret and assist with the analysis and implementation of regulatory changes that impact securitizations and related businesses (e.g. risk retention and related SEC rules).
- Assist with ongoing advocacy efforts relating to regulatory changes impacting securitizations and online lending issues, including participation in Structured Finance Association calls and comment letters on hot topics.
- Manage and direct outside counsel on select matters.
- Advise Capital Markets Team on due diligence responses and investor reporting related matters as necessary.
Requirements
- Minimum of 5 years big-law firm legal and transactional experience; knowledge of marketplace lending a plus.
- Strong structured finance transactional experience (ex: securitizations, asset-backed lending and warehouse arrangements, and other secured or unsecured credit facilities), and strong experience with drafting and negotiation of loan purchase and servicing agreements.
- Experience with consumer assets, including exposure to credit card receivables, personal and vehicle loans; revolving deal structures is a plus.
- Experience with ABS and related SEC filings, corporate, securities, finance and related issues.
- Strong organizational, analytical and time management skills.
- Exceptional ability to communicate and interact effectively with all levels of staff and leadership.
- Strong team player eager to ask questions, learn and share best practices.
- Ability to work independently in largely remote environment and respond proactively to business needs.
- Ability to work in a fast-paced environment with frequently changing priorities.
- Willing to put in the time to get deals closed and meet tight timelines.
- Proficiency with Word, Excel and PowerPoint.
$180,000 – $200,000 a year
Yearly incentive bonus target 25% of base salary. This position may also be eligible for long-term cash and/or equity incentives.
