We are looking for an Assistant Vice President, Senior Counsel – Corporate Law based in our Chicago or New York Offices

Your Team

The Corporate Law Team is committed to providing legal support and consultation in connection with corporate transactions, strategic investments, reinsurance, maintenance of the legal entity organization, and corporate governance matters. The Team manages the legal entity organization consisting of nine regulated insurance companies and eight non-insurance companies, which involves adhering to corporate formalities (board and committee meetings, board resolutions, officer and director certifications) and holding company act compliance for the AGCS North America companies.

The Impact You Will Have

Reporting to the Vice President – Head of Corporate Law North America, you will join the team as an Assistant Vice President, Senior Counsel – Corporate Law, responsible for providing strategic and transactional advice to all areas of the North American Regional organization and negotiating and implementing corporate strategic and financial transactions. As a reinsurance expert and experienced legal resource, the Assistant Vice President, Senior Counsel leads by example and directs paralegal Corporate Analyst staff members and collaborates with senior Insurance Law, Investment and Finance leaders in assuring sound and timely implementation of strategic objectives and transactions.

Some of your specific responsibilities could include

  • Originating and implementing creative approaches for improving processes and implementing company strategy and transactions.
  • Overseeing and developing support staff and junior attorney and providing guidance with respect to drafting/review of contracts, treaties and agreements as appropriate, as well as being accountable for the quality of services provided by support staff in connection with assigned work.
  • Working with Business Partners to deliver legal services to optimize business results, serving as the reinsurance technical expert and resource for the AGCS NA Corporate Law Practice Area.
  • Structuring and negotiating financial and strategic transactions involving securities, strategic investments, mergers and acquisitions and assets (business entity) sales and acquisitions, proactively providing counsel to client units regarding legal issues that arise through the pursuit of strategic objectives and transactions.
  • Advising, drafting and negotiating strategic reinsurance arrangements on behalf of the entities; knowledge of multi-national and international reinsurance treaties is a plus.
  • Overseeing outside counsel as necessary to capture synergistic and efficient use of services.
  • Developing strong, collaborative relationships with senior leaders within Finance, Investment Management, Procurement, and Reinsurance, providing advice on legal issues to all levels of management and staff.
  • Identifying potential legal issues related to corporate and operational business practices and policies and collaborate with Head of Corporate Law regarding company positions.
  • Proposing and advocating innovative solutions to corporate issues, developing risk mitigation measures related to corporate, governance, privacy and reinsurance matters and processes.
  • Collaborating with Legal counterparts around the world to developing universal corporate administration and governance practices and procedures.
  • Supporting strategic intercompany transactions.

What You’ll Bring to the Role

  • 11+ years of leadership experience practicing in law firms or blue-chip companies (insurance company experience preferred);
  • Demonstrated expert in insurance, corporate law and regulation or litigation across multiple jurisdictions;
  • Proven track record negotiating complex legal agreements as well as complex legal and regulatory issues;
  • Experience in various business scenarios (e.g., restructuring, integration, growth);
  • Knowledge of a breadth of substantive legal disciplines, including insurance, corporate and contract law, accounting standards, and litigation processes;
  • Understanding of regulatory and compliance environment, including relevant policies, laws and regulations, across multiple jurisdictions;
  • Ability to build and foster relationships across various lines of business and with external cooperation partners;
  • Experience drafting and negotiating contracts and strategic management of contractual disputes;
  • Ability to negotiate best position for AGCS, and client, often in contentious situations, managing conflicting priorities of various parties;
  • Ability to express ideas and messages clearly, both written and verbally;
  • Ability to take initiative and solve problems;
  • Strong leadership skills, with an ability to develop and motivate team members; and
  • Juris Doctorate.

The annualized base pay range for this role is $119,280 – $203,072. The annual base salary range represents a nationwide market range. The actual salary for this position may be above and will be determined by a number of factors, including the scope, complexity and location of the role; the skills, education, training, credentials and experience of the candidate. The base pay is just one component of the AGCS total compensation package. As part of our comprehensive compensation and highly rated benefits programs, employees are also eligible for annual performance-based cash incentive awards.
