The Role

StarRez, Inc. is seeking a dynamic Contracts Counsel to be the leader of our newly created contracts team, reporting to the Vice President of Legal. The ideal candidate will have experience working both in a law firm and corporate setting with 4+ years of legal experience. As contract counsel, you will lead a scaling team, gain expertise on StarRez solutions and offerings to inform contracting, and own all commercial, supplier, partnership, and company contracts. You will draft and negotiate, update policies and procedures, and deliver with precision advise to all legal requests. You will assist a global team so flexibility with time on occasion is needed.

Location: Remote, US [Denver preferred, but open to remote candidates]

What You Will Own

  • Draft, review, and negotiate all agreements with customers, prospective customers, suppliers, and partners
  • Agreement ownership will also include MSAs, NDAs, service level agreements, data processing agreements, contract amendments, renewals, and statements of work
  • Create a contracts playbook including SOPs, templates and training materials
  • Facilitate internal contract reviews with concise contract summaries for deal teams, calling out individual actions and potential roadblocks requiring attention
  • Ensure contract compliance, data privacy requirements, evolving GDPR/regulatory matters and enhance effectiveness and efficiency
  • Oversee and support accurate contract data in Salesforce for customer contracts including pricing schedules
  • Own and optimize all aspects of the contracts organization, closed contract filing, and internal collaboration (Support the implementation of a CLM system)
  • Work closely with internal business partners and external counsel (Source of Truth)
  • Assist the VP of Legal in other matters including, filings, presentations, and trainings

Required Qualifications

  • JD from a U.S. ABA accredited law school
  • Active license to practice law in Colorado or eligible for Colorado law licensure
  • 4+ years of legal practice (with 2+ yrs. focused on SaaS/Software contracts)

Preferred Qualifications

  • Experience structuring, drafting and negotiating a variety of commercial contracts with Software/SaaS agreements (including privacy experience)
  • Extraordinary communications and customer engagement skills with exceptional attention to detail
  • Self-starter that can work in all levels of an international business
  • Fair, strong, concise, and balanced negotiation proficiencies
  • Ability to multitask and prioritize in a high performing and dynamic environment
  • Experience working with public and higher education institutions as well as international law (EMEA and APAC)
  • Have led and expanded a contracts team domestically and internationally
  • Open to working a hybrid Schedule from our Denver, CO office (6100 Greenwood Plaza Blvd, Greenwood Village, CO 80111)
  • For remote candidates, Pacific Time Zone or Mountain Time Zone preferred.
