Corporate Counsel (Attorney II)

The Attorney II position will be primarily responsible for providing legal support to the North America branch of ENGIE’s Renewables – Global Business Unit (“R-GBU”) in connection with the development, acquisition, construction, operation and disposition of renewable power generation projects, including wind, solar, and storage assets in the United States and Canada. Responsibilities will also include related financing matters; assistance in overall compliance with federal, state and/or local laws and regulations; and such other transactional and contractual matters for ENGIE North America Inc. (“ENA”) and its subsidiaries as may be required from time to time.

This position is located in Houston, Texas and reports to the VP & Assistant General Counsel, ENGIE North America

What you’ll do:

  • Assist in the development and execution of comprehensive legal strategies and solutions to lawfully facilitate R-GBU’s and its affiliates’ commercial objectives while mitigating any associated legal risks
  • Provide legal support and advice in connection with complex energy infrastructure development projects, including with respect to permitting matters and any administrative or other legal proceedings related to or arising from such projects
  • Assist in the drafting and negotiating project development, joint venture, acquisition, disposition, and other contracts, including power purchase, energy service, real estate, financing, construction and operating agreements
  • Perform legal due diligence, evaluation and risk analysis of transactions
  • Assist in preparing internal approvals and authorizations, including by preparation of legal risk memos and participation in project or investment review meetings
  • Provide legal support to R-GBU in all aspects of corporate governance and entity formation and dissolution activities
  • As required to support the legal function generally, support ENA and its affiliates on matters not involving R-GBU and acts as a team member with all employees of ENA and its affiliates
  • Comply with and supports the ethics, compliance and other applicable policies and procedures of ENGIE SA and its subsidiaries and works cooperatively with the personnel charged with implementing and monitoring same
  • Carry out other duties as assigned

What you bring:

  • Juris Doctorate (JD) from an ABA accredited law school
  • Licensed to practice law in one of the fifty (50) United States
  • A minimum of three (3) or more years of energy transactional experience, preferably in both complex development and merger and acquisition as well as in wind, solar or other renewable generation technologies

  • Must be eligible to work for any U.S. employer without the need for sponsorship now or in the future
  • Must be available to travel up to 10% via airplane, car, and train as required
  • Ability to travel domestically and internationally on limited occasions
  • Must be willing and able to comply with ENGIE’s policy with respect to COVID vaccination and testing
  • Must be willing and able to comply with all ENGIE ethics and safety policies
  • Ability to meet highest attendance requirements
  • Ability to handle multiple assignments on a timely basis with a high degree of accuracy
  • Ability to use a personal computer
  • Could involve some lifting

  • Salary Range: $97,965-$163,590 USD, annually
  • Actual salary offered may vary depending on geography, experience, education, internal pay alignment, or other bona fide factors
  • In addition to salary, this position is eligible for a competitive bonus / incentive plan
