Corporate Counsel – Corporate Transactions

Summary

The Corporate Counsel will draft, review, and negotiate a variety of commercial contracts for the development, interconnect, construction, procurement, and engineering (“EPC”), financing, operations and maintenance (“O&M”), and gas distribution of waste-to-energy facilities. The Corporate Counsel will also provide general legal support for the renewables business, including with respect to corporate governance, entity management, financings, dispute resolution, insurance, acquisitions, and other areas.

Salary Range: $120,000 – $200,000 DOE

Essential Duties and Responsibilities

Draft, review, and negotiate commercial contracts and other documents for the development, interconnect, EPC, financing, O&M, and gas distribution of waste to energy facilities, such as term sheets, joint venture agreements, manure supply agreements, ground leases and easements for site control, interconnect to utility agreements, EPC agreements, O&M agreements, master professional services agreements, requests for proposal, consulting agreements, confidentially agreements, offtake natural gas purchase and sales contracts, renewable energy credit sales agreements, etc.

Provide legal support in all phases of construction of the project, including change orders, force majeure notices, bonding over liens, handling disputes, and after construction, warranty claims as necessary.

Work closely with the commercial team and provide legal advice throughout the development, interconnect, EPC, financing, O&M, and gas distribution of waste to energy facilities.

Provide legal support for all aspects of the renewables business entity structure and corporate governance, including entity formation, maintenance, and dissolution.

Effectively manage and oversee legal work performed by paralegal and external counsel.

Keep abreast of legal developments affecting the company and inform other company attorneys and affected personnel of such developments.

Provide general legal support and consultation to individuals at all levels of the company in legal, development, operations, construction and engineering, operations, sales, finance and accounting, marketing, information technology, and distribution.

Other duties as assigned.

Supervisory Responsibilities

Carry out supervisory responsibilities in accordance with the organization’s policies and applicable laws. Responsibilities include interviewing, hiring, and training employees; planning, assigning, and directing work; appraising performance; rewarding and disciplining employees; addressing complaints and resolving problems.

This position has supervisory responsibilities. Manages and supervises Corporate Counsel, as applicable, and external counsel. Works with a secretary and paralegal.

Education and/or Experience

Juris Doctor Degree from an ABA accredited law school plus a minimum of 4 years of experience of energy related experience working in-house and/or at a law firm.

Language Skills

Ability to read, analyze, and interpret laws and regulations. Ability to draft commercial contracts and other legal documents and business correspondence. Ability to effectively present information and respond to questions from executives, managers, clients and customers.

Mathematical Skills

Ability to calculate figures and amounts such as discounts, interest, commissions, proportions, percentages, area, circumference, and volume. Ability to apply concepts of basic algebra and geometry.

Reasoning Ability

Ability to solve practical problems and deal with a variety of concrete variables in situations where only limited standardization exists. Ability to interpret a variety of instructions furnished in written, oral, diagram, or schedule form.

Computer Skills

Knowledge of all Microsoft Office applications.

Certificates, Licenses, Registrations

Licensed attorney in the state of California.
