The Microsoft Corporate, External and Legal Affairs (CELA) department has an immediate opening for a dynamic and highly motivated attorney to join its Federal CELA team. This Corporate Counsel, Microsoft Federal role will primarily support the Microsoft Federal civilian agency sales and services business organization with legal, compliance, regulatory, and other issues related to the U.S. Government’s procurement and purchase of Microsoft’s portfolio of leading-edge technology solutions. This role will have frequent engagement with Microsoft executives, technical experts, outside partners, and U.S. Government agencies.
Qualifications:
Required/Minimum Qualifications:
- Juris Doctorate Degree or Equivalent International Degree
- OR Completion of a Legal Apprenticeship.
- Active license to practice law in a jurisdiction and capable of meeting admission requirements in relevant jurisdiction.
- 3+ years experience as a practicing attorney at a government agency and/or at a law firm, with experience in cloud computing and IT services engagements
- OR equivalent practice of law.
- Experience with Federal Acquisition Regulations ( FAR), Defense Federal Acquisition Regulations ( DFARS), Commercial Item Procurement, including Other Transaction Authority (OTA), and other unique US Government requirements

- Citizenship & Citizenship Verification: This position requires verification of U.S. citizenship due to citizenship-based legal restrictions. Specifically, this position supports United States federal, state, and/or local United States governments agency customers and is subject to certain citizenship-based restrictions where required or permitted by applicable law. To meet this legal requirements, citizenship will be verified via a valid passport.
- Citizenship & Citizenship Verification: This role will require access to information that is controlled for export under U.S. export control regulations, potentially under the International Traffic in Arms Regulations or the Export Administration Regulations. As a condition of employment, the successful candidate will be required to provide proof of citizenship, U.S. permanent residency or other protected status under 8 U.S.C. § 1324b(a)(3) for assessment of eligibility to access the export-controlled information. To meet this legal requirement, citizenship will be verified via a valid passport.
Additional or Preferred Qualifications:
- Counseling experience with issues such as False Claims Act ( FCA), Procurement Integrity Act and other applicable government contract ethics and compliance issues
- Demonstrated ability to work efficiently, meet demanding deadlines and balance multiple tasks in a fast-paced environment
- Excellent analytical and drafting skills
- Excellent oral and written communication skills
- Ability to work independently and partner effectively in a team environment
Legal Counsel IC3 – The typical base pay range for this role across the U.S. is USD $101,200 – $194,800 per year. There is a different range applicable to specific work locations, within the San Francisco Bay area and New York City metropolitan area, and the base pay range for this role in those locations is USD $130,000 – $213,200 per year.

Responsibilities:
- Drafting, negotiating, and providing legal guidance on transactions with U.S. Government customers and partners including software, complex cloud computing (Software as a Service, Infrastructure as a Service, Platform as a Service), Internet of Things (IoT) edge computing, professional services (product support and consulting), partner, teaming, and indirect channel sales agreements
- Supporting and advising business clients on Request for Proposal (RFP), Request for Quote (RFQ), and Request for Information (RFI) evaluation and proposal responses
- Providing legal guidance, collaboration, and support to business clients and CELA teammates and cross-groups relative to government data rights, bid protests, Non-Disclosure Agreement (NDAs), Other Transaction Authority ( OTAs), Freedom of Information Act ( FOIA), ethics and compliance, and other general legal matters involving procurement, sales, and services with the U.S. Government
