JOB FUNCTION:

Serves as Corporate Governance Assistant and Assistant Corporate Secretary of Hawaiian Electric Company and its subsidiary companies in accordance with the Articles of Incorporation, By-laws and federal and state regulations and statutes. Assists Corporate Secretary with corporate governance and board related matters. Coordinates with HEI Corporate Secretary and staff on corporate governance and board-related matters. Assists Vice President-General Counsel, Chief Compliance Officer and Corporate Secretary with budget matters, special projects and reports, and administrative and operational support.

ESSENTIAL FUNCTIONS:

  • Assists the Corporate Secretary of the Hawaiian Electric Companies by coordinating arrangements for all regular and special meetings of the Boards of Directors of Hawaiian Electric Company and its subsidiary companies.
  • Prepares drafts of notices, agendas (with knowledge of the action required to be taken on the business affairs of the respective companies), resolutions, waivers of notice, secretary’s certificates and subsequent correspondence in connection with said meetings.
  • Coordinates preparation and review of board presentations and other board and committee submissions.
  • Communicates with executive team, Hawaiian Electric Industries Corporate Secretary’s office and others about board calendars, agendas, materials and other information relevant to board and committee meetings.
  • Establishes and maintains corporate books and records of the Companies and coordinates review and response to internal and external auditors, Sox review and regulatory reporting.
  • Maintains corporate documents, minute books and general corporate records for which the Corporate Secretary is the office of record.
  • Assists with review, drafting and updating of corporate documents, such as the Articles of Association and By-laws in accordance with state statutes.
  • Acts as custodian of the seal for Hawaiian Electric and its subsidiary companies; affixes the corporate seal and attests, signs or countersigns documents when authorized.
  • Maintains and manages officer and director listings for annual filings and regulatory requests.
  • Collaborates and coordinates with HEI on updates to insider trading list.
  • Maintains policies and procedures that apply to Corporate Secretary’s office.
  • Coordinates with Hawaiian Electric Company’s Treasury department on accurate reporting of outstanding shares of common stocks of the Companies in connection with financings and other transactions; manages issuance of stock certificates as needed.
  • Provides advanced administrative and operational support, usually of a confidential nature, for Vice President-General Counsel, Chief Compliance Officer and Corporate Secretary.
  • Strategically manages the Vice President-General Counsel’s calendar to be in line with evolving priorities and iniatitives.
  • Proactively identifies issues that may impact critical deadlines.
  • Coordinates process area meetings; prepares responses to communications on behalf of VP-General Counsel, Chief Compliance Officer and Corporate Secretary; provides guidance to the process area on software applications such as FIORI and SAP.
  • Assists and participates with management and other personnel in the discharge of their duties by researching and advising them on various corporate matters.
  • Performs legal research and prepares legal documents as assigned.
  • Performs special assignments, as required, such as organization and development of the process area strategic dashboard; coordination with HEI EVP-General Counsel’s office on annual shareholder meeting; and the like.
  • Develops and administers the budget for board-related activities.
  • Monitors, investigates and analyzes variances of actual expenses to budget each month.
  • Prepares special reports and recommends budgeting and cost management improvements.
  • Coordinates with process area finance lead to consolidate budget reports and prepares supporting department work papers for rate case.
  • Processes department invoices, board of director expenses reimbursements and compensation payouts.
  • Participates in Company emergency response activities, including any activities to prepare for such emergency response.

BASIC QUALIFICATIONS:

Knowledge Requirements

  • Thorough knowledge of state statutes governing corporations generally.
  • Thorough knowledge of company’s operations, policies, personnel and goals and objectives.
  • Thorough knowledge of Articles of Association and By-laws of Hawaiian Electric and its subsidiary companies.
  • Familiarity with franchise and tariffs governing public utilities.
  • Working knowledge of personal computers and/or mainframe systems and related software applications in the areas of word-processing, spreadsheets, and presentations.

  • Excellent interpersonal skills and the ability to work with a variety of individuals at all levels in and out of the organization.
  • Excellent written, oral and listening communication skills.

Experience Requirements

  • Multiple (3-5) years of experience in a large corporation preparing and maintaining official corporate notices, records and actions in accordance with federal and state government and regulatory agency requirements.

Hiring Range: The hiring range for the Corporate Governance Assistant & Assistant Corporate Secretary [Req ID 8688] position is $68,300.00 to $85,400.00. The person selected will be placed according to his/her skills and qualifications.
