Job Description

Are you a detail-oriented legal professional with experience in supporting legal teams? If so, we have an exciting opportunity for a Legal Support Specialist to join our team and provide essential support to our Associate General Counsel. In this role, you will be responsible for managing tasks, intake of legal requests, and preparing legal and business communications. Additionally, you will conduct research and analysis on cases, projects, and state regulations, ensuring compliance and assessing potential risks. With your strong organizational skills, you will assist in maintaining corporate documents, coordinating signatures, and managing corporate filings. Responsibilities:

  • Provide legal support services to Assoc. General Counsel in the form of task management, legal request intake, and preparation of legal and business communications and scheduling.
  • Conduct basic case, project or state regulatory research and analysis for potential new products, transactions, or e-commerce ventures, including as it relates to existing intellectual property concerns, compliance considerations and products liability risk.
  • Prepare legal documents and other correspondence both with and without supervision.
  • Assist with the maintenance of corporate cadence including, drafting corporate documents, such as director and shareholder resolutions, meeting minutes, annual and timely filings with corporate registrars, etc.
  • Coordinating and receiving signatures for corporate documents and filings.
  • Incorporating legal entities and maintaining their corporate good standing in all relevant jurisdictions, including general entity management, state filings and docketing deadlines and responses.
  • Maintain a library of pre-approved form documents, contract clauses, templates, and historical documents, and add or revise material as needed.
  • Prepare standard letters and reports and help create initial drafts of documents for review.
  • Gather, organize, summarize, index, and maintain documents from various sources.
  • Prepare draft agreements and form documents, review, revise and negotiate contracts under direction of Assoc. General Counsel, and assist in transactional matters, including management of transaction documents and due diligence materials.
  • Operationalize and manage contract and project management software.
  • Assist with Intellectual Property management, docketing and filings.
  • Assist with entity management
  • Perform legal and regulatory research and analysis, including preparation of legal documents and investigation of various issues; assist in preparation of corporate filings.
  • Attend various company meetings to assist with potential legal problems and policies, as directed by Assoc. General Counsel.
  • Assist in conducting investigations and assist in resolution of legal, compliance and risk management matters and anticipated litigation.
  • Assist in the development and implementation of new practice/case management software for the Legal and Compliance Dept. to include contract and form templates, guidance materials, and other informational material.
  • Assist with the communication and management of outside counsel.
  • Performs miscellaneous job-related duties as requested.

Qualifications

  • Bachelor’s degree or associate degree (with a Paralegal certification, preferred)
  • Minimum of 3-4 years of experience in a law firm or legal department, with corporate and/or IP experience (preferred). International and/or securities experience would be a plus!
  • Maintain confidential information.
  • Use analytical and critical thinking skills in reading, interpreting, analyzing, and applying information from legal documentation and references.
  • Manage multiple tasks with changing priorities to meet deadlines in a fast-paced environment with constant interruptions.
  • Communicate effectively, both orally and in writing.
  • Work independently as well as collaboratively within a team environment.
  • Handle stressful situations and provide a high level of customer service in a calm and professional manner.
  • Establish and maintain effective working relationships with others at all organizational levels.

Additional Information

Compensation:

As of the time of this posting, the expected base annual salary range for this position is $70,000 to $80,000. The actual base annual salary will be based on a wide range of factors, including your skills, qualifications, and experience, as well as business needs and limitations. As a result, compensation may vary within and across similar roles and positions. Please note that the base annual salary range information set forth above is a good faith estimate for this position and actual compensation for any individual may fall outside this range if warranted by the circumstances applicable to that individual. If we identify a role that would be suitable for a broader range of skills and experience such that we would consider hiring at multiple levels, then the range listed above may reflect that breadth. If offered a position, the actual base annual salary will be contained in your offer letter.
