The Corporate Legal team is comprised of a versatile group of Legal professionals who partner with our business in the areas of M&A, Finance, Corporate and Commercial transactions, Corporate Governance, Capital Markets, and related matters. We also work closely with our Chief Legal Officer with respect to matters involving the board of directors and corporate governance more broadly.
About the Role
We are currently searching for a Counsel, Corporate Legal. This is an extraordinary opportunity to work on groundbreaking issues in an exciting, fast-paced environment. This position reports to the Sr. Director, M&A Legal, and is based in San Francisco (preferred) or New York.
What You’ll Do
– Partner closely with Uber’s Corporate Development team and other legal and cross-functional teams to manage domestic and cross-border M&A, divestitures, strategic investments, joint ventures, and other corporate transactions through each stage of the transaction lifecycle
– Draft and negotiate NDAs, term sheets, letters of intent, definitive acquisition, and other transaction agreements
– Help develop and implement standardized templates and processes for repeatable transactions, with an eye towards improving the efficiency of Uber’s M&A and deal processes
– Support the Corporate Governance and Securities team with securities law, capital markets (debt and equity) transactions and SEC compliance and public company reporting activities
Basic Qualifications
– Minimum 5+ years of diverse M&A, capital markets, corporate governance, and securities law/public company reporting experience in private practice and/or in-house, OR Minimum 4+ years and +1 year Uber internal experience
– J.D. and license to practice law in at least one state
Preferred Qualifications
– Experience working with public companies and SEC reporting in the technology sector
– Ability to run and lead cross-functional teams / projects with a diverse group of partners
– Strong business acumen and judgment with understanding of financial metrics and fundamentals
– Strong work ethic and ability to prioritize projects in a fast-paced environment
– Strong team orientation, with confidence and flexibility to perform in forward-thinking, constantly evolving, and growing environments
– Collaborative approach with both business and legal groups, with strong ability to establish relationships and partner with others
– Outstanding analytical and legal skills, creative problem-solver
– Ability to translate sophisticated legal issues and ambiguity into clear and simple advice, to communicate effectively with non-legal internal colleagues, and to collaborate with a broad range of senior business managers, executives, and other colleagues and professionals across our company

For New York, NY-based roles: The base salary range for this role is $195,000 per year – $216,500 per year.
For San Francisco, CA-based roles: The base salary range for this role is $195,000 per year – $216,500 per year.
