Data Privacy Counsel – Assistant Director
The Privacy Counsel is a member of the Ernst & Young LLP (EY) U.S. General Counsel’s Office (GCO) and provides legal support related to a wide range of privacy issues (including data protection, cross-border data transfers, data retention, data sharing and incident response) and related information security and information technology issues; supports procurement agreements from a privacy perspective; and supports and negotiates services agreements and related technology agreements across EY’s Service Lines from a privacy perspective.
The Opportunity
This role involves understanding and advising on state and federal privacy laws and regulations (including state data breach requirements and applicable sectoral laws and regulations) and the impact of applicable international regulations (e.g., PIPL, APPI, GDPR). The work is complex and requires sound experience in data privacy, data protection and related areas, as well as contract law and drafting and negotiating professional services agreements. This role reports to the GCO U.S. Lead Privacy Counsel.
Your Key Responsibilities
- Providing practical advice and guidance on privacy and related issues to internal clients and stakeholders, and developing solutions to such issues while effectively managing legal and practical business considerations
- Advising on applicable state, federal and international privacy laws and regulations, including the Personal Information Protection Law (PIPL), Act on the Protection of Personal Information (APPI), Data Protection Act No. 152 FZ, EU General Data Protection Regulation (GDPR), Health Insurance Portability and Accountability Act (HIPAA), U.S. state privacy laws, and other various privacy matters as they relate to EY, including Binding Corporate Rules (BCRs)
- Reviewing and negotiating privacy and data protection terms with EY clients and vendors, including data processing agreements (DPAs); data transfer agreements (DTAs); data protection, information security and related agreements; and Business Associate Agreements (BAAs)
- Assisting with drafting of privacy statements, privacy notices, terms of use and disclosures
- Assisting GCO and risk management with drafting of EY policies and trainings
- Supporting EY’s security incident and data breach management, response and resolution efforts, including supporting investigations and advising on notification requirements
- Working collaboratively with internal clients to develop strategies to address identified issues
- Advising client engagement teams and the relevant Service Line leaders of the key legal risks of the proposed project or contract, including the legal and regulatory issues that need to be addressed early in the process
- When considering items with implications beyond the EY U.S. firm, consulting with legal counsel in other member firms around the world to explain the objective of the activity, the data or personnel that will be impacted, how risks will be mitigated and managed; and addressing any remaining local issues with the affected member firms, the counterparty and other stakeholders
- Interpreting and explaining contract terms and conditions for internal clients and stakeholders
- Confirming that contracts are compliant with EY policies and maintaining an understanding of the impact of any changes in EY’s policies, organizational structure and procedures
- Effectively managing workflow, including multiple projects, in a proactive and highly responsive manner
- Attending GCO meetings and training sessions, and working with other GCO attorneys to update templates and contracting procedures

- Independent judgment and thinking necessary to resolve issues presented to GCO
- Ability to identify projects that require communication and/or consultation within GCO or with other EY member firms or functions (e.g., independence, finance, risk management), and advise EY internal teams on how these risks can be addressed, while escalating key issues and contractual provisions in accordance with EY policies/protocols
- Ability to work independently on projects and draw upon extensive knowledge and experience to deliver quality risk management guidance
- Excellent organizational skills; demonstrated ability to create, plan and successfully execute projects; and the ability to meet rapid deadlines in a fast-paced environment
- Excellent verbal and written communication skills, and the ability to interface and communicate effectively and diplomatically with all levels of EY personnel
- Experience with privacy laws and regulations (including data protection, cross-border data transfers, data retention, data sharing and incident response), negotiation techniques, transactional analysis, contract law, commercial agreements and workload/project management
- Excellent negotiation, drafting and interpersonal skills, with a high degree of cultural and emotional intelligence
- Ability to understand, and accurately articulate and document, complex concepts
- Ability to assess size and scope of contemplated transactions and to tailor approach accordingly
- Ability to foster teamwork and maintain effective working relationships with internal clients/stakeholders
- Responsiveness and ability to manage high volume workload efficiently and effectively
- Commercial, solution-oriented thinking, with a focus on exceptional client service
- Bachelor’s degree from an accredited 4-year college
- Juris Doctor from an accredited law school
- Approximately 3 – 7 or more years of relevant work experience in a related role, with a particular emphasis on data privacy matters
- Experience with privacy regimes in developing markets is a plus
- A recognized privacy certification, such as CIPP/US, is a plus, but not required
- Membership in a State Bar as an attorney; qualified to practice law as an in-house attorney in the state in which you reside
- Good standing with the State Bar, including being current on individual state Continuing Legal Education requirements

The salary range for this job in most geographic locations in the US is $120800 to $219200. The salary range for New York City Metro Area, Washington State and California (excluding Sacramento) is $144900 to $249100. Individual salaries within those ranges are determined through a wide variety of factors including but not limited to education, experience, knowledge, skills and geography. In addition, our Total Rewards package includes medical and dental coverage, pension and 401(k) plans, and a wide range of paid time off options. Under our flexible vacation policy, you’ll decide how much vacation time you need based on your own personal circumstances.
