Financial Services Attorney

Overview

First Citizens seeks an exceptional financial services attorney to join our team of driven legal professionals.

In this Counsel position, you will work closely with cross-functional teams to develop and implement First Citizens’ next-generation suite of financial products and services for our most innovative commercial clients, including clients of Silicon Valley Bank (a division of First Citizens Bank). You will advise on a range of legal and regulatory issues related to the structuring, implementation, and delivery of the financial products and services that our commercial bank and institutional asset management clients require. This may include derivatives, asset management, investment funds, and/or commercial loans, depending on your experience and interests. Working with colleagues in Legal, you will collaborate with colleagues across a spectrum of disciplines, all working at the intersection of finance, technology, and design, to provide full product life-cycle counseling, from ideation and development to launch, operation and sunset. You will also be an active participant in evolving the legal support model for our most sophisticated financial products.

Candidates located in the New York or San Francisco metropolitan areas are preferred. (First Citizens has large office locations in these areas.) We will also consider qualified candidates from any US geography.

The base pay for this position is relative to your experience but the range in NYC and California is generally $200,000 to $250,000 per year. This position is eligible for variable compensation, which may be in the form of incentive, bonus, or commission pay. Responsibilities

  • Collaborating with various stakeholder groups on all stages of product development.
  • Providing and memorializing legal guidance to business units and risk functions regarding regulated products and services.
  • Developing and updating template client agreements for regulated products and services.
  • Supervising the negotiation of client agreements, in coordination with internal stakeholders, external clients, and outside counsel.
  • Developing and conducting training for business unit members.
  • Providing meaningful and engaged contributions to the Legal team’s ongoing commitment to develop best-in-class practices.

Qualifications

    Juris Doctor (JD) and at least 6 years of experience
      • At least 6 years of relevant experience (either at a top-tier law firm or in-house)
      • Proven capability and familiarity with at least one category of financial products and services (derivatives, asset management, investment funds, broker-dealer and/or commercial lending experience preferred), including typical documentation and a clear understanding of the legal and regulatory frameworks upon which design and delivery of these financial products and services rests, such as Title VII of the Dodd-Frank Act, the Commodity Exchange Act, the Investment Advisers Act of 1940, the Investment Company Act of 1940, the Securities Act of 1933, the Securities Act of 1934, banking laws, and the rules and regulations promulgated by the CFTC, SEC, Federal Reserve, NFA, and FINRA.
