Governance and Board Operations Director

The Board Liaison Office is responsible for supporting Microsoft’s Board of Directors and is seeking a Governance and Board Operations Director with a background in corporate governance, board governance and project management to join our team. The primary focus of this role will be leading and managing the Board Liaison Office team as described below. The role requires organizational and problem-solving skills, attention to detail, great business sense, work ethic, and exceptional interpersonal skills. A proven ability to operate independently and work proactively in a fast-paced environment is essential. A high level of consistent professionalism, diplomacy, and discretion is necessary.

Qualifications:
Required/Minimum Qualifications

  • Bachelor’s Degree in relevant field (e.g., Liberal Arts, Business Administration, Management, Computer Science) AND 8+years experience in business program management, project management, or business process management experience including developing, delivering, promoting, critically assessing, and continually improving programs for a large organization.
    • OR equivalent experience.
  • Experience with Microsoft Outlook, SharePoint, OneNote, Excel, Word, and PowerPoint

Preferred/Additional Qualifications:

  • Working knowledge of a corporate board structure and responsibilities, and related legal requirements.
  • Experience setting priorities and being flexible in changing environments; with a bias toward action and tangible results; track record of getting things done through cross-function.

Business Management M6 – The typical base pay range for this role across the U.S. is USD $124,800 – $266,800 per year. There is a different range applicable to specific work locations, within the San Francisco Bay area and New York City metropolitan area, and the base pay range for this role in those locations is USD $159,000 – $292,200 per year.

Responsibilities:

  • Lead the Board Liaison Office in defining, managing, and maintaining the rhythm of the business (ROB) that drives execution of the work of the Microsoft Board of Directors.
  • In partnership with Microsoft’s Vice Chair and President drive end-to-end preparation for Board and Board Committee meetings (virtual and in-person) and support the execution of meetings.
  • Cultivate relationships within the Board Liaison Office, Microsoft executives and their assistants, Microsoft’s Corporate Legal Affairs organizations, and other business partners. Establish, lead, communicate, and maintain planning roadmap, timelines, and priorities to meet the meeting objectives.
  • Responsible for collecting, preparing, proofing, and distributing Board and Committee meeting materials.
  • Prepare resolutions and Secretary Certificates documenting Board actions.
  • Maintain corporate and departmental files and records; finalize meeting minutes and exhibits.
  • Build and maintain Board document templates, examples, and instructions.
  • Drive annual processes around board technologies and tools.
  • Administer the Board portal and related SharePoint sites.
  • Research governance policies and issues to inform decision-making.
  • Build operational processes and documentation related to Board and other corporate governance functions.
