Pay Range
$84,960 – $105,480 Annually
Please note that the pay range information is a general guideline only. Many factors are taken into consideration when setting starting pay including education, experience, the external labor market, and internal equity.
Job Description
We’re looking for an Intellectual Property/Contract Specialist to independently manage the processing of complex agreements from inception through post execution. This position is in the Innovation and Partnerships Office (IPO).
You will
- Prepare complex, multi-party, non-disclosure agreements (NDAs) through multiple levels of approval from inception through execution to allow collaboration between LLNL and external personnel and/or entities. This requires close interactions with IPO Business Development Executives, external parties, LLNL researchers and Office of General Counsel.
- Research and compile information provided by the parties, analyze the NDA terms to ensure document language is consistent, and apply knowledge of previously negotiated terms to interpret and determine appropriate use of special conditions and clauses. Apply comprehensive knowledge of DOE, LLNS, and Federal legislative requirements to recommend and initiate updates to procedures and boilerplates for NDAs.
- Perform as a backup to the Material Transfer Agreement (MTA) Specialist by processing MTAs through multiple levels of approval from inception through execution, and review licensee insurance certificates to determine if the limits meet the terms of the license.
- Serve as a resource to IPO Business Development Executives, IPO management, Program personnel and industry partners and contacts to gather, compile and disseminate information on various NDAs and MTAs and their mechanisms.
- Generate Due Diligence reports to obtain information on businesses for use in our partnering and licensing discussions.
- Maintain databases to ensure critical flow of legal documents from inception to execution and participate in the development of database improvements and quality assurance of data.
- Perform other duties as assigned.
Qualifications
- Ability to secure and maintain a U.S. DOE L-level security clearance which requires U.S. citizenship.
- Specialist and operational knowledge of legal contracts and/or technology transfer agreements.
- Experience applying research and analytical skills to resolve issues and ensure compliance to policies and procedures.
- Experience participating in or leading business or operational activities.
- Problem-solving and decision-making skills necessary to independently recommend appropriate actions and solutions.
- Advanced organizational skills, attention to detail, accuracy, flexibility, ability to prioritize multiple and complex tasks, and ability to work under time constraints to meet short deadlines with frequent interruptions.
- Ability to interact with all levels of internal and external personnel to build effective business relationships and anticipate and develop new approaches to bringing precedent-setting NDAs to successful execution.
- Excellent grammar, proofreading, and editing skills. Advanced experience in MS Word and Excel.
- Ability to work effectively independently, as well as in a team environment, under frequently changing priorities.
Qualifications We Desire
- Associate degree and/or professional certification.
- Experience in technology transfer mechanisms, including non-disclosure agreements.
- Understanding of intellectual property and contract law.
- Experience in working with databases including developing queries and reports
- Knowledge and experience in developing complex data analysis including use of Excel spreadsheets, using, and applying Excel’s graphical and analytical tools.

Security Clearance
