By joining an award winning Corporate Legal team as the Legal Director, Governance & Engagement, you will be an integral member of the Corporate legal team who will advise with respect to a variety of corporate governance and engagement matters. Key responsibilities will include advising on securities law, corporate governance matters and organizing and supporting shareholder/stakeholder engagement activities.
This is a hybrid role based in our Purchase, NY office.

Responsibilities
- Counseling on corporate governance matters and trends, including advising on compliance with Nasdaq corporate governance standards and shareholder voting policies, engagement and trends
- Preparing and/or reviewing SEC filings and drafting and reviewing correspondence with the SEC, including no-action letters
- Leading key aspects of annual shareholders’ meetings and shareholder engagement activities, including coordinating outreach to shareholder proponents with cross-functional teams (including Compensation, Investor Relations, Corporate Affairs and Sustainability departments); and responding to shareholder proposals
- Organizing and participating in shareholder engagement investor and stakeholder outreach during both proxy and off season, and preparation of engagement materials, including acting as the primary legal contact for the cross-functional engagement team
- Conducting due diligence, benchmarking and legal research on a variety of corporate governance matters
- Managing review of potential related person transactions, including working closely with Control team
- Preparation and review of annual director and officer questionnaires
- Overseeing process for responding to communications addressed to the Board of Directors and preparing related correspondence and documentation
- Monitoring and advising team members timely regarding changes in legal and regulatory requirements
Compensation and Benefits:
- The expected compensation range for this position is between $113,300 – $226,600
- Location, confirmed job-related skills and experience will be considered in setting actual starting salary
- Bonus based on performance and eligibility; target payout is 25% of annual salary paid out annually and an additional target payout of 10% of annual salary is paid out over 3 years following the end of the performance period.
- Long term incentive equity may be awarded based on eligibility and performance.

Qualifications
Minimum Qualifications:
- JD from an accredited law school with active admission to New York Bar
- 4+ years of experience as a corporate attorney handling securities law, corporate governance and other legal matters at a top law firm or public company (with prior in-house experience preferred)
