Proactive Risk Engagement Principal Corporate Counsel, Compliance and Ethics

The Corporate External and Legal Affairs (CELA) Compliance & Ethics (C&E) organization plays a key role in supporting Microsoft’s mission by fostering a culture of compliance, ethics and trust through world class counseling, programs, and investigations. The Proactive Risk Engagement (PRE) team within C&E brings together legal professionals, compliance experts, and data analysts to put compliance on a proactive footing. We work across the company to understand the root cause, scope, and impact of critical risks; we partner with engineering, business, compliance, and sales teams to design and implement resilient controls and data-driven monitoring systems to address those risks; we support investigations with data intelligence and build risk models using advanced analytics; and we advise and consult on the design and execution of controls, sales channels, incentive programs, and complex transactions. We take a cross-disciplinary, collaborative approach to our work. We are looking for a like-minded legal professional to join our proactive risk assessment and Foreign Corrupt Practices Act (FCPA) counseling practice.

Responsibilities:

  • Deliver timely, actionable FCPA guidance to business leaders, sales teams, lawyers, and control functions.
  • Work with control functions and compliance teams to coordinate proactive risk counseling, mitigation measures, and enhancements to controls and monitoring capabilities globally.
  • Partner with PRE’s analytics team and C&E’s investigation community to proactively assess emerging risks and design & implement solutions.
  • Brief business leadership and executive compliance committees on compliance risks, data-driven insights, and proactive trends.
  • Build strategic relationships to expand our complex deal and “compliance by design” counseling practice, with a focus on emerging business models.
  • Direct outside counsel to support risk assessments, proactive counseling engagements, and complex deal and “compliance by design” advisory practice.
  • Contribute to the advancement of a culture of diversity and inclusion at Microsoft.

Qualifications:
Required/Minimum Qualifications

  • Juris Doctorate Degree or Equivalent International Degree
    • OR Completion of a Legal Apprenticeship.
  • Active license to practice law in a jurisdiction and capable of meeting admission requirements in relevant jurisdiction.
  • 5+ years experience as a practicing attorney
    • OR equivalent practice of law.
  • Demonstrated experience advising on U.S. Foreign Corrupt Practices Act and other corruption law-related risks and preventative mitigation.

Preferred Qualifications

  • 5+ years work experience in a law firm, in-house legal department, or government agency.
  • Demonstrated experience dealing with compliance issues involving multinational companies or other large complex organizations, preferably involving risk assessments, controls, complex transactions, program launches, and commercial licensing and cloud business models.
  • Demonstrated experience managing a portfolio of projects and activities across multiple business areas, compliance functions, and geographies.
  • Demonstrated experience building and maintaining collaborative relationships across disciplines and seniority levels.

Legal Counsel IC4 – The typical base pay range for this role across the U.S. is USD $124,800 – $222,000 per year. There is a different range applicable to specific work locations, within the San Francisco Bay area and New York City metropolitan area, and the base pay range for this role in those locations is USD $159,000 – $238,600 per year.
