Description
We are looking for an exceptional Securities and Corporate Governance Paralegal to join our dynamic legal team.
What You’ll Do
- Prepare and file all Section 16 forms for executive officers, directors, and key stockholders.
- Manage beneficial ownership tracking for executive officers, directors, and key stockholders.
- Administer legal-owned processes within AppFolio’s equity administration and insider trading programs.
- Assist in preparing SEC filings, including proxy statements and periodic reports (Forms 10-K, 10-Q, and 8-K) through collaboration with key stakeholders.
- Prepare, file, organize, and maintain corporate books and records, resolutions, minute books, bylaws, certificates, and related documents.
- Manage the online portal used to provide materials and communications to AppFolio’s Board of Directors.
- Assist in the creation, upkeep, and disposition of legal entities, including formation, state filings, dissolution, foreign qualifications, and obtaining DBAs and EINS

Must Haves
- Understanding, familiarity, and comfort with SEC regulations and corporate and securities laws.
- 5+ years of related professional experience in the legal field.
- A bachelor’s degree or equivalent.
Good to Have
- 3+ years working in an “in-house” environment.
- High level of comfort and aptitude for technology, including Workiva, SEC EDGAR system, Diligent, G-Suite, and other web-based software.
- Paralegal certificate from an ABA-approved program.
- Proficiency with basic legal research.
Compensation & Benefits
The base salary that we reasonably expect to pay for this role is: $91,000-$110,000
The actual base salary for this role will be determined by a variety of factors, including but not limited to the candidate’s skills, education, experience, etc.
Please note that base pay is one important aspect of a compelling Total Rewards package. The base pay range indicated here does not include any additional benefits and bonuses that you may be eligible for based on your role and/or employment type.
