Reporting into the Deputy General Counsel of Norstella, and working alongside a Senior Contracts Manager, the Contracts Manager will be an initial point of contact to generate, review, edit and negotiate customer commercial agreements, non-disclosure agreements (NDA’s) and other legal documentation as necessary. This role is to support the legal team as well as minimize operational and legal risk during the formation of contract agreements. The Contracts Manager will also help organize execution, management and storage of customer contracts.
This position provides commercially minded and pragmatic contracts support on a variety of matters including commercial customer contracts, data protection, dispute management, corporate compliance, and others as required.
Your main responsibilities as a Contracts Manager will involve:
- Draft, review and negotiate agreements (contracts with customers for sales of products and/or services, NDAs, and other terms and conditions), with rising level of complexity and minimal direction, according to departmental contract negotiation guidelines and procedures.
- Coordinate the expertise of multiple internal departments into a strategic position to proceed with negotiations, minimizing risk and maximizing value to the organization.
- Implement and utilize a contract management tracking database.
- Provide training and guidance to the sales team, peers, and other stakeholders regarding contract terms, contract review procedures, and negotiation strategies.
- Address contract related issues as they arise, with appropriate escalation to Legal Counsel and General Counsel when required.
- Propose and assist with the development of tools for the enhancement of contractual processes and documentation.
- General administrative duties to support the legal department (eg filing, photocopying/scanning, printing, updating schedules, tracking deadlines and expiry dates etc)
- Identify process improvements that will facilitate effectively mitigating and managing legal business risks, reduce outside counsel costs, improve quality of service, and ensure compliance with the businesses’ legal requirements.
- Assist in development of best practices regarding processes, procedures, and policies.
- Be flexible and dependable in daily work schedule.
- Supporting key stakeholders with the contractual documentation from RFP stage to contract signature.
- Handling and advising on, day to day legal and contractual queries.
- Proactively identifying legal risks to the business and assist in developing strategies and internal documents to mitigate risk.
- Delivering timely and high-quality legal advice to the business all in a practical and commercially focused way in relation to all relevant matters that reduce risk, resolve issues, and maximize the opportunity for the business to deliver on its goals.
- Additional projects and duties as assigned.
Requirements
- A law degree
- 0-3 years’ experience as an Attorney
- Strong organizational skills required: flexibility and ability to juggle multiple tasks, often to tighten deadline and determine workflow priority
- Excellent attention to detail
- Expertise in at least one relevant practice area (commercial/corporate/contractual/regulatory)
- Significant independence in comprehension and drafting of commercial contracts and other relevant documents
- Strong MS Office skills essential.

The expected base salary for this position ranges from $90,000 to $105,000. It is not typical for offers to be made at or near the top of the range. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, and, where applicable, licensure or certifications obtained. Market and organizational factors are also considered. In addition to base salary and a competitive benefits package, successful candidates are eligible to receive a discretionary bonus.
