Senior Corporate Paralegal (Part-Time)
The Senior Corporate Paralegal is a key member of the company’s Legal Team that assists with public company and corporate governance matters, SEC filings, Board of Directors meetings, legal entity management, compliance and equity administration, and contract management. This is an outstanding opportunity to join a small legal team in an impactful and diverse role with significant exposure to executive management within a public company.
This is a part-time (20 to 30 hours a week) career opportunity
The position is based on-site at the company’s East Bay office.
Responsibilities of the role:
- Assist with SEC filings, including Section 16 filings, SEC periodic reports, preparing D&O questionnaires, tracking beneficial ownership of directors and officers
- Project manage all matters relating to the proxy statement and annual stockholder meetings
- Assist with management of the corporate governance function, including preparation of Board and Committee meeting materials, updating calendars, meeting logistics, and tracking meeting attendance
- Own all aspects of entity management, including maintaining corporate records and state filings for parent company and subsidiaries
- Assist with equity administration, including equity incentive plan and ESPP
- Perform contract management tasks
- Assist with special projects, as needed
- Work collaboratively with accounting and other internal stakeholders
Qualifications and Experience We are Looking for:
- 7-10+ years of relevant experience as a corporate paralegal, with significant in-house experience
- Public company experience, including SEC filings (Section 16 reports and proxy statements)
- Significant experience with the Board of Directors and corporate governance matters and legal entity management
- Proficiency in equity administration
- Proficiency with contract management tasks
- Team player who is also a self-starter with a sense of urgency and who is comfortable and adept working independently with minimal oversight on certain projects
- High level of accuracy and attention to detail
- A high degree of judgment, discretion, and confidentiality
- Strong interpersonal skills with the ability to work cross-functionally with multiple stakeholders and teams, providing excellent support when needed
- Excellent written and oral communication skills
- Paralegal certification (from an ABA-approved program) required
- College degree desired
- California Notary desired
Pay Range: $75/hr. to $85/hr. depending on experience.
