Your Team
The Insurance Law and Litigation Team provides timely, accurate legal advice to the Underwriting, Lines of Business and Market Management organizations. We provide focused legal guidance to assist our clients on legal and regulatory interpretation and compliance, creation or revision of policy forms and endorsements, operational best practices, risk evaluation, resolution of consumer concerns, and policyholder and agent communications.
The Impact You Will Have
Reporting to the Vice President Associate General Counsel – Insurance law, as Senior Counsel you are responsible for providing assistance to the various business units on legal matters within the organization, ensuring that all practices, policies, and business activities of the organization fall within the bounds of the organization’s legal posture. You will provide advice and counsel concerning the laws that impact their functional areas and oversee the preparation of legal documents. You will work under the guidance and direction of the General Counsel and VP/Associate General Counsel.
Some of your specific responsibilities could include:
- Provide counsel to various business units regarding a full range of legal matters in connection with the development, issuance, administration and distribution of the Company’s insurance products.
- Exercise sound legal and business decision making through assessment of risk and evaluation and explanation of alternatives and their implications.
- Support Underwriting and Underwriting Governance with a primary focus on drafting/review of forms, new product development, regulatory inquiries, and litigation management for all lines; Market Management and Communications (e.g., broker agreements, broker relations, customer communications); and Operations (policy transactions).
- Significant amount of insurance contract/policy wordings review.
- Regulatory compliance matters including the companies’ state licensing, foreign reinsurer registrations, underwriting market conduct examinations, responding to government inquiries (data calls, complaints, etc.), coordinating form/rate filings for new products, and producer licensing.
- Administration of corporate compliance policies and processes including code of conduct, company’s anti-corruption policy, and OFAC screenings.
- Monitor new laws, evaluate impact and alert internal business clients, including federal laws (e.g., TRIA, OFAC, optional federal charter bills) and state laws (e.g., SFP exceptions for terrorism, commercial deregulated states, catastrophe funds, and restrictions on cancellation/nonrenewal.
- Act as sounding board for assigned internal business leaders regarding legal issues relating to implementation of strategy, new processes and products.
- Provide legal advice on complex AGCS projects, including restructuring activities, reinsurance and regional expansion.
What You’ll Bring to the Role
- 10+ years of practicing in law firms or blue-chip companies;
- Demonstrated expert experience in insurance law (coverage advice or litigation) across multiple lines of business and types of commercial insurance;
- Proven track record negotiating complex legal agreements;
- Understanding of regulatory and compliance environment including relevant policies, laws and regulations – across multiple jurisdictions;
- Experience drafting and negotiating contracts and strategic management of contractual disputes;
- Ability to negotiate best position for AGCS often in contentious situations, managing conflicting priorities of various parties;
- Ability to express ideas and messages clearly, both written and verbally;
- Ability to take initiative and solve problems; and
- Juris Doctorate.
The annualized base pay range for this role is $102,375 – $200,233. The annual base salary range represents a nationwide market range. The actual salary for this position may be above and will be determined by a number of factors, including the scope, complexity and location of the role; the skills, education, training, credentials and experience of the candidate. The base pay is just one component of the AGCS total compensation package. As part of our comprehensive compensation and highly rated benefits programs, employees are also eligible for annual performance-based cash incentive awards.
