Where you’ll work:
Our hybrid workplace model offers the freedom to work fully remote or occasionally in one of our offices. This is a remote position with a hybrid option for candidates based in Boston, MA.
How you’ll contribute:
As a Mutual Fund Corporate Counsel you will join the Brighthouse Legal Department to be a key leader and part of a team that provides day-to-day support of investment advisory matters connected to the Brighthouse Funds registered under the Investment Company Act of 1940. The Brighthouse Funds are offered through registered insurance company issued products. This role will have two direct reports and the successful candidate must have experience managing a legal team.
In this role, you’ll get to:
- Provide primary legal support for all aspects of legal and regulatory matters for the Brighthouse Funds, including preparing and reviewing board materials for quarterly Funds’ Board of Trustees meetings
- Provide day-to-day legal support to Brighthouse Investment Advisers (BIA), a registered investment adviser
- Participate as a member of BIA governance committees
- Work closely with BIA and Funds Compliance in the evaluation of submissions during the 15(c)-contract renewal process
- Prepare and oversee the registration statements and prospectus supplements for the Brighthouse Funds
- Prepare and oversee the drafting of SEC filings relating to: sub-adviser changes (14C Information Statements), new portfolios, substitutions, and mergers/acquisitions and/or liquidations
- Provide advice regarding and implementation of new mutual fund related proposals and regulations
- Review and advise on marketing material, producer training materials and communications related to the Brighthouse Funds
- Develop and foster talent within the team
We’re looking for people who have:
- Juris doctorate from an accredited law school; admitted to practice before a state bar association; 12+ years of in-depth experience with federal securities laws regulating mutual funds
- Prior strong experience with registration of mutual funds on Form N-1A under the Investment Company Act of 1940 and Securities Act of 1933
- Experience with preparing materials and attending Board meetings for registered mutual funds with a Board room demeanor to effectively interact and communicate mutual fund matters
- Experience interacting with clients and managing or escalating questions or issues as appropriate
- Skilled at working with multiple groups across an organization to build alignment
- Experience collaborating on a team and managing others in the Legal group
- Strong oral and written communication skills
- Strong interpersonal and organizational skills
- Excellent analytical thinking and problem solving
