Under general direction from the designated Senior Corporate Counsel, this position will work closely with attorneys and paralegals in the Legal Department, business partners, operations leaders, dental professionals, administrative support staff and with other business functions in the organization, to provide legal and related support integral to the organization’s operations.
This position is temporary, estimated to last up to 6 months, and will be a hybrid schedule working out of the Irvine National Support Center.
Responsibilities
- Manage and close transactions with coordination between operations partners and dental partners or high-level business partners. Transactions may involve opening of dental offices or additional business lines, or acquisitions, in various jurisdictions.
- Draft, negotiate, manage and advise business teams with respect to complex services contracts, including software licensing, software as a service agreement, work orders, outsourcing arrangements, strategic alliances, vendor agreements and renewals, non-disclosure agreements, provider agreements, insurance contracts and other commercial agreements.
- Partner with the operations and marketing teams to review and guide legal compliance for new initiatives and existing practices.
- Manage various legal projects to successful completion. This includes large multiple transaction initiatives and implementation of broad new legal structures for the organization.
- Ability to analyze and guide the organization on regulations related to dentistry and healthcare.
- Perform on-line research and conduct electronic filings on legal and business-related matters.
- Handle confidential information with the highest degree of care.
- Effectively interact and communicate with the organization’s management, including executives, other internal clients and outside counsel.
- Other duties as assigned by management.
Qualifications
- J.D. degree from an ABA accredited law school with bar admission and strong academic record. 4+ years of combined large law firm and in-house experience in a sophisticated corporate setting.
- Significant experience with corporate and transactional matters, corporate governance and commercial transactions.
- Experience in drafting and reviewing corporate legal instruments, filing with state and federal agencies and with licensing issues.
Preferred
- Experience working in a health care environment.
- Exceptional organizational skills with an ability to manage multiple projects to meet deadlines and quality outcomes required.
- Familiarity with Workshare Professional or similar legal document management systems

- Display judgment by willingness to make timely and accurate recommendations based on available information. Must have the ability to exercise considerable judgment and discretion. Evidence of the practice of a high level of confidentiality.
- Excellent computer skills in a Microsoft Windows environment (Outlook, Excel, Power Point, Access, etc.) as well as overall database management and record keeping.
- Ability to prepare comprehensive reports and represent ideas clearly and concisely, both orally and in writing.
