Under direction from the VP, Deputy General Counsel, Corporate Affairs, the Paralegal III will work closely with attorneys, dental professionals, operations leaders and administrative support staff to provide legal, administrative and related support integral to the organization’s operations. The individual will serve as a subject matter expert for corporate transactions and closings, entity filings and corporate governance in conjunction with or at the direction of the VP, Deputy General Counsel, Corporate Affairs.
Responsibilities
- Oversee governmental agency filing processes and ensure proper supporting documents are transmitted.
- Prepare legal/transactional documents, correspondence and agreements for attorney review and approval by identifying forms and formats, producing text and Review transaction documents, employment agreements, independent contractor agreements and/or corporate filings.
- Manage and provide guidance to Legal Delegate work, maintain deadlines and generate status reports and ensure associated administrative tasks are completed in a timely manner.
- Manages files and documents, includes coordinating with operations partners, dental partners and clinicians compiling supporting documentation/records, tracking and expediting transaction completion.
- Review, research and/or oversee the formation and maintenance of legal entities, including all necessary annual and regular corporate filings and business licensing on behalf of a multi- jurisdictional company.
- Serve as a subject matter expert on governmental agency filing requirements and Updates team on requirement/process changes.
- Evaluates effectiveness of processes and reports, includes developing and implementing process improvements.
- Accept services of process, review documents served and route to appropriate person(s) or department(s).
- Provide procedural guidance to supported offices, internal departments or personnel on legal documents received.
- Perform on-line research and conduct electronic filings on legal and business-related matters.
- Act as a liaison with the organization’s management, other internal clients and outside counsel.
- Other duties as assigned by the VP, Deputy General Counsel, attorneys, and management.
Required
- Bachelor’s Degree from an accredited college in the related field, paralegal certificate from an ABA accredited program. In lieu of degree, 7+ years of legal and transactional experience in a large corporate setting or law firm is required or the equivalent combination of education and experience.
- Experience in drafting contracts and corporate legal instruments, filing documents with state and federal agencies, handling licensing and maintenance of entities.
- Basic understanding of professional licensing and permitting for healthcare clinicians.
- Basic understanding of or familiarity with corporate entities and partnership terminology and structure.
Preferred
- Familiarity with Salesforce, Box, Apttus, X-Author, DocuSign Esignature, DocuSign CLM, Spring CM, and/or Workshare Professional
